Successfully completed private placement

Reference is made to the press release dated 18 April 2007 regarding the

private placement in Nutri Pharma ASA.

Nutri Pharma ASA has on 18 April, 2007 successfully completed the private

placement of a total of 7,865,000 new shares at a subscription price of

NOK 3.10 per share. Gross proceeds from the equity issue amounted to

NOK 24,381,500. The private placement was several times oversubscribed

and the new shares were subscribed by both Norwegian and international

investors.The new shares will be listed on Oslo Stock Exchange following

the registration in the Norwegian Register of Business Enterprises.

The total number of sharesoutstanding after the issue will be 86,536,629.
