NUT details for offer to aquire all outstanding shares

Oslo, October 19, 2004

As announced on 14 October, Lars H. Høie has informed Nutri Pharma that he will make an offer to acquire all the outstanding shares in Nutri Pharma. The reason for the offer is that Høie wishes to offer shareholders who do not wish to participate in the new strategic direction of Nutri Pharma (as described in the 3Q report) an opportunity to sell their shares.

The offer price is NOK 2.25 per share. This constitutes a premium of approximately 50% over the volume weighted average trading price for the last three month period.
The offer period will be from 19 October to 3 November 2004.

Fondsfinans will act as handling agent in connection with the offer.

The offer document in English and Norwegian is attached and is also being distributed to all shareholders.
